1. Acceptance of Terms
These Terms of Use constitute a legally binding agreement between you ("Merchant", "Store Owner", "User", or "Customer") and Chimeole Software ("Company", "we", "us"). If you are entering into these Terms on behalf of a company, supermarket, hospitality establishment, gym, gas plant, or other legal entity, you represent that you possess the authority to bind such entity.
2. Tenant Store Accounts & Security
When creating a merchant account on Chimeole POS:
- You must provide accurate, current, and complete business details, including legal business name, contact phone, business email, and storefront address.
- You are responsible for maintaining the confidentiality of your administrative login credentials, staff passwords, and API secret keys.
- You agree to immediately notify Chimeole Software of any suspected unauthorized access or breach of security.
3. Subscriptions, Pricing & Billing
Chimeole POS operates under transparent subscription tiers (including Free Trial, Monthly, Yearly, and Lifetime Access plans):
- Free Trial: Allows access to test platform features for a specified period (7 days) without requiring upfront payment details.
- Paid Subscriptions: Billed in Nigerian Naira (₦) or authorized regional currencies via Paystack or direct corporate invoice. Subscription renewals occur on recurring cycles unless cancelled prior to renewal date.
- Refunds: Payments for active subscription terms or software deployment licenses are generally non-refundable once activated, except where mandated by statutory consumer laws.
4. Staff Roles & Operational Permissions
Store owners can provision role-based accounts (Super Admin, Owner, Manager, Cashier, Kitchen Staff, Waiter):
- The Store Owner is responsible for all actions conducted under their tenant staff accounts, including discounts granted, shift cash drawer opens, stock transfers, and refund approvals.
- All financial modifications are permanently recorded in the immutable audit ledger for supervisory review.
5. Online Storefronts & Public Orders
Merchants utilizing the public QR menu / digital storefront features acknowledge that:
- The merchant is strictly responsible for product pricing, menu descriptions, stock availability, food hygiene, delivery fulfillment, and ticket validity.
- Chimeole Software acts solely as the technical technology provider and does not manufacture, handle, store, or deliver physical merchandise sold by merchants.
6. Prohibited Activities
Users agree not to engage in the following prohibited actions:
- Reverse-engineering, decompiling, or attempting to derive the source code of Chimeole POS.
- Using the system to process fraudulent transactions, unauthorized credit cards, money laundering, or illegal contraband sales.
- Interfering with server performance, executing automated scraping, or overloading the Paystack/Sync APIs.
7. Intellectual Property Rights
All software architecture, logos, UI designs, algorithms, database schemas, and documentation are the exclusive intellectual property of Chimeole Software. Merchants retain full ownership of their store logos, customer contact lists, catalog items, and sales ledger data.
8. Suspension & Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in unlawful commerce, or remain severely overdue on platform licensing fees. Merchants may export their inventory and sales ledgers in CSV/Excel formats prior to account closure.
9. Governing Law & Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these Terms shall be resolved amicably through mutual executive consultation, failing which they shall be submitted to competent courts in Nigeria.
